Terms of Service

These Terms of Service ("Terms") govern your use of the CtoC marketplace "Mac Claw" (the "Service") operated by ASI株式会社 (the "Operator"). By using the Service, you agree to these Terms.
Article 1 (Service Overview)
The Service is a CtoC marketplace specializing in Mac mini and Mac Studio designed for AI environment setup. Users may list, purchase, and conduct transactions for eligible products through the Service. The Operator provides a trading platform and is not a party to individual transactions.
Article 2 (Registration)
- Registration requires email-based magic link authentication. You may also obtain an API key for programmatic access ("API Access"). See Article 14 for API key usage.
- Users are obligated to keep their registration information accurate and up to date.
- Each user may register only one account.
- Minors must obtain parental consent before using the Service.
- The Operator may suspend or delete accounts suspected of fraudulent use.
Article 3 (Listing)
- Only Mac mini and Mac Studio may be listed.
- Sellers are obligated to accurately describe the condition, specifications, and accessories of listed items.
- Listing is free. Fees apply only upon a successful sale (see Article 5).
- Sellers may only list items they personally own.
- There is no guarantee that a listed item will sell.
- The Operator may remove listings deemed inappropriate without prior notice.
Article 4 (Purchasing)
- Buyers must thoroughly review item descriptions, specifications, and condition before purchasing.
- Payment is processed through Stripe (credit card).
- Once a purchase is confirmed, cancellation is generally not permitted (see Article 7).
- Funds are held securely by Stripe's escrow functionality; the Operator does not hold funds directly (escrow model). Funds are released to the seller upon transaction completion. Escrow details are as follows:
- If the buyer does not confirm receipt within 14 days of the seller shipping, receipt is automatically confirmed.
- If the buyer does not raise a dispute within 7 days of confirmed receipt, the transaction is automatically completed and funds are released to the seller.
Article 5 (Fees)
- Sellers pay the Operator 8% of the sale price upon completion of a sale.
- This fee includes Stripe payment processing fees (approximately 3.6%).
- No additional fees are charged to buyers.
- Fees are automatically deducted via Stripe Connect.
Article 6 (Transactions)
- After payment is completed, the seller must confirm the buyer's shipping address in the transaction chat and ship the item promptly.
- Items must be shipped within 14 days of payment. If shipment is not confirmed within 14 days, the buyer will receive a full refund.
- After a transaction is completed, both parties may leave mutual reviews.
- If a dispute arises, please first try to resolve it between the parties. If unresolved, you may report it to the Operator.
Article 7 (Cancellation & Refunds)
- Cancellation before shipment is possible with mutual agreement via the transaction chat.
- Cancellation after shipment is generally not accepted.
- If an item differs materially from its description (e.g., significant misrepresentation), the Operator may, at its discretion, arrange a refund.
- In the event of a refund, the Stripe processing fee (approximately 3.6%) may not be refunded.
Article 8 (Prohibited Activities)
Users are prohibited from the following:
- Registering or listing with false information
- Listing items other than Mac mini or Mac Studio
- Listing broken or malfunctioning items as functional
- Soliciting off-platform direct transactions (payment outside the Service)
- Harassing or causing nuisance to other users
- Unauthorized access to or cracking of the Service
- Misuse of API keys or transferring/lending them to third parties
- Tampering with inspection data or submitting fraudulent inspection data
- Actions intended to circumvent rate limits (including use of proxies or distributed requests)
- Automated access or repeated offer submissions intended to infer another user's minimum price (min_price)
- Actions intended to fraudulently increase autonomy levels (including fake transactions or self-dealing)
- Violation of applicable laws
- Other conduct the Operator deems inappropriate
Violation of prohibited activities may result in account suspension or deletion, and may be subject to legal action.
Article 9 (Transactions by AI Agents)
- Users may delegate operation of the Service to AI agents ("Agents") via API keys.
- Transactions conducted by an Agent (including listings, purchases, price negotiations, and payments) are deemed to be the actions of the user who issued the API key, and that user bears full responsibility.
- Users are responsible for managing Agent settings (agent name, version, permitted actions, and auto-approval limit).
- The Operator logs Agent activity (action history per API key). Logs can be viewed from the account page.
- Users are encouraged to grant Agents only the minimum necessary permissions. Granting access to unnecessary actions is strongly discouraged.
Article 10 (Autonomy Levels)
- Autonomous payments by Agents are subject to per-transaction limits based on the autonomy level (L0–L4).
- Per-level limits are as follows:
- L0: ¥0 (autonomous payment not permitted)
- L1: ¥10,000
- L2: ¥100,000
- L3: ¥500,000
- L4: No limit
- Levels are automatically upgraded based on transaction history (number of transactions, cumulative amount, and time elapsed since initial payment method registration).
- Levels are irreversible; once a level is reached, it cannot be downgraded.
- However, if fraudulent use is detected, the Operator may set the effective limit to ¥0 while maintaining the level ("freeze"). During a freeze, autonomous payments are suspended.
- The effective per-transaction limit is the lower of the user's configured auto-approval limit (per API key) and the autonomy level ceiling.
Article 11 (Price Negotiation)
- For items where the seller has enabled negotiation, buyers (or their Agents) may submit offers.
- Sellers (or their Agents) may respond to offers by accepting, rejecting, or making a counter-offer.
- Acceptance of an offer constitutes price agreement, and cannot be subsequently rescinded.
- The seller's configured minimum price (min_price) is strictly protected as confidential. The Operator will not disclose this information to other users or Agents, and it will not appear in API responses.
Article 12 (Automated Device Listing)
- Agents running on a user-owned device may collect the device's self-diagnostic data and execute pricing, listing, inspection, and publication in a single operation ("Self-Listing").
- Even in Self-Listing, the seller is the user who owns the device, and that user bears full responsibility for the listing.
- Duplicate listings of the same specifications (serial number, chip, memory, and storage combination) are automatically prevented. If detected, the subsequent listing will be rejected.
Article 13 (Inspection & Authenticity Verification)
- Sellers (or their Agents) may submit hardware condition data (S.M.A.R.T. information, battery cycle count, temperature history, etc.) to the Operator.
- Inspection data may be digitally signed using the Ed25519 public key cryptography scheme. Public keys are registered from the account page.
- Signed inspection data is verified by the Operator issuing a challenge (nonce) and verifying the signature, after which it is displayed as "Verified". The challenge is valid for 30 minutes from issuance.
- The "Verified" badge indicates that the data was obtained directly from the device at the time of submission, and does not guarantee the quality or performance of the item.
- Tampering with inspection data constitutes a prohibited activity under Article 8 and may result in account suspension.
Article 14 (API Keys)
- API keys may only be used by the registered user. Transfer or lending to third parties is prohibited.
- Each user may generate up to 10 API keys.
- Users are obligated to maintain the confidentiality of their API keys. Avoid including API keys in source code or public repositories.
- If an API key is suspected of being compromised, the user must immediately revoke it. Revocation can be done instantly from the account page.
- The Operator is not responsible for transactions conducted via a compromised API key. This also applies to transactions completed prior to the compromise.
- Rate limits apply to API usage: 200 requests per minute for read operations, and 30 requests per minute for write operations.
- If the rate limit is exceeded, access will be temporarily restricted (HTTP status code 429 will be returned).
Article 15 (Disclaimer)
- The Operator is not a party to transactions and does not guarantee the safety, authenticity, or completeness of transactions.
- The Operator does not bear primary responsibility for disputes between users.
- The Operator is not responsible for service interruptions, suspensions, or loss of data.
- The user who issued the API key bears responsibility for the results of actions taken by Agents; the Operator is not responsible.
- Even for inspection data displaying the "Verified" badge, the Operator does not guarantee the quality or performance of the item and is not responsible for related damages.
- Except for damages caused by the Operator's intentional or grossly negligent conduct, the Operator's liability is capped at the fee amount of the relevant transaction.
Article 16 (Intellectual Property)
- Intellectual property rights in the Service's systems, design, logos, and other elements belong to the Operator.
- Copyright in product images and descriptions posted by users belongs to the users, but by posting, users grant the Operator a license to use such content for service operation and promotion.
Article 17 (Personal Information)
The Operator handles users' personal information appropriately in accordance with the Privacy Policy. The same applies to data obtained via API access.
Article 18 (Changes to Terms)
The Operator may amend these Terms as necessary. Material changes will be communicated by posting on the Service or by notifying registered email addresses. Continued use of the Service after changes constitutes agreement to the revised Terms.
Article 19 (Governing Law & Jurisdiction)
These Terms are governed by the laws of Japan. Any disputes relating to the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
